The terms governing your use of the ValuGuard Payroll Advisory website and the Payroll Stability Index™ Snapshot.
How ValuGuard Payroll Advisory collects, uses, and safeguards your information when you use our services.
These Terms of Use (“Terms”) govern your access to and use of the ValuGuard Payroll Advisory website at valuguardpayroll.com (the “Site”), including the Payroll Stability Index™ (“PSI”) Snapshot. By accessing or using the Site, you agree to these Terms.
You must be at least eighteen (18) years of age and authorized to bind any organization you represent in order to use the Site. If you do not agree to these Terms, do not use the Site.
The PSI™ Snapshot is a free preliminary risk indicator. It is provided for informational purposes only and does not constitute legal, tax, accounting, financial, regulatory, or other professional advice. Snapshot results are based solely on the responses you provide, are not validated through document review or interviews, and should not be relied upon as a definitive assessment of payroll risk, compliance posture, or financial exposure.
The full PSI™ Assessment, delivered under a separate Engagement Letter, is the only ValuGuard product intended to support material decisions, audit responses, transaction diligence, or board-level reporting.
Where ValuGuard and a client have executed an Engagement Letter, the Engagement Letter and any incorporated Master Services Agreement, Non-Disclosure Agreement, or Statement of Work govern the relationship and the deliverables. These Terms govern Site usage only and do not supersede or modify the terms of any executed Engagement Letter.
The Payroll Stability Index™, the PSI™ Snapshot, the five-pillar framework, the Strategic Intelligence Layer, the methodology, all related scoring rubrics, the V-shield identity mark, and all content on the Site are the proprietary intellectual property of ValuGuard Payroll Advisory LLC. No license is granted to copy, modify, distribute, reverse-engineer, create derivative works of, or commercially exploit any portion of the framework or Site content without our prior written consent.
“ValuGuard,” “Payroll Stability Index,” “PSI,” and the V-shield mark are trademarks of ValuGuard Payroll Advisory LLC. Other product and company names mentioned on the Site are the property of their respective owners.
By submitting information through the Site (including PSI™ Snapshot responses, contact form inquiries, or consultation requests), you represent that the information is accurate and that you have the authority to provide it. Submissions are governed by our Privacy Policy.
You may not use the Site to: (a) violate any law or regulation; (b) infringe any intellectual property right; (c) transmit malicious code or interfere with the Site’s operation; (d) scrape, crawl, or copy substantial portions of the Site without authorization; or (e) attempt to gain unauthorized access to any system or data.
THE SITE AND THE PSI™ SNAPSHOT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. VALUGUARD DOES NOT WARRANT THAT THE SITE OR THE SNAPSHOT WILL MEET YOUR REQUIREMENTS OR THAT RESULTS OBTAINED WILL BE ACCURATE OR RELIABLE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VALUGUARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THE PSI™ SNAPSHOT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VALUGUARD’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
For paid engagements, limitation of liability is governed by the applicable Engagement Letter.
You agree to defend, indemnify, and hold harmless ValuGuard, its officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your misuse of the Site.
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws provisions. Any action arising under or related to these Terms shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. Material changes will be reflected by updating the “Last Updated” date above. Continued use of the Site after such updates constitutes acceptance of the revised Terms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
